| Tender Notice: | TENDER NOTICE 1. INVITATION TO TENDER The South African National Roads Agency Limited (“SANRAL”) formally invites interested parties with relevant experience to submit detailed tenders for the design, construction, finance, operation and maintenance of National Road 1 (N1) from Old Oak Interchange at km 18,69 on Section 1 to Sandhills at km 20,56 on Section 3, an approximate distance of 108 km, and National Road 2 (N2) from west of Swartklip Interchange at km 17,50 on Section 1 to Botrivier at km 45,80 on Section 2, an approximate distance of 76 km, as a toll highway, including associated facilities and developments under a concession contract (the “Concession Contract”). The Concession Contract covers, inter alia, the financing, construction of toll plazas and associated infrastructure, including the implementation of electronic toll collection as required, and the operation, maintenance and upgrading of the Highway over a concession period of 30 years (or such other period agreed to by SANRAL). 2. CONDITIONS OF TENDER Interested parties are advised that Tenders must be submitted in accordance with the Invitation to Tender and the Tender Rules set out therein. Tenders which are submitted must be accompanied by a Tender Security in the form of a bank guarantee for an amount of R7,500,000 (seven million five hundred thousand Rand). Tenders must also remain open and capable of acceptance by SANRAL for 270 (two hundred and seventy) days from the Tender Submission Due Date (as defined in the Invitation to Tender). SANRAL is committed to Government’s objectives for Broad-Based Black Economic Empowerment (BBBEE), community participation, and the use and development of Black Enterprises (BEs) and Small Medium and Micro Enterprises (SMMEs). Tenderers are required to seek the participation of the medium and small enterprises in order to mobilize their requisite capacity to handle the Project in terms of the requirements of this Tender. 3. AVAILABILITY OF TENDER DOCUMENTATION Subject to paragraph 4, Tender Documentation outlining the scope of the Tender as well as the requirements for the tender submission will be available for collection by prospective Tenderers from 12h00 on 16 March 2010 from: The South African National Roads Agency Limited Parc Du Cap Building 5 Corner of Mispel Street and Willie van Schoor Avenue Belville, 7530 Western Cape, South Africa All enquiries relating to the availability and collection of the Tender Documentation should be directed to Mr Tiago Massingue at +27 21 957 4600 or massinguet@nra.co.za. Information provided in the Tender Documentation or otherwise in relation to the Project is offered in good faith for the guidance of the Tenderer and no warranty or representation is given as to the accuracy of such information. SANRAL, its representatives and advisors shall not be liable for any error, misstatement or omission. The Tender Documentation, in any form whatsoever, shall remain the property of SANRAL. 4. PAYMENT FOR TENDER DOCUMENTATION A non-refundable fee of R50,000 (fifty thousand Rand) per Tenderer is payable by means of direct deposit or electronic funds transfer. All payments must be made in immediately cleared funds to The South African National Roads Agency Limited (SANRAL), Bank: ABSA Bank Limited, Branch Number: 335545, Account Number: 1045510073, Swift Code: ABSAZAJJ, Reference: 800069 and the Prospective Tenderer’s Name. Proof of payment must be provided on the collection of the Tender Documentation. 5. REGISTRATION Each Prospective Tenderer collecting the Tender Documentation shall be required to complete a registration form on collection of the Tender Documentation. The following details shall require completion on the registration form: Name of person(s) and company(ies) collecting the Tender Documentation; Name of Prospective Tenderer; Registration number of Prospective Tenderer (if any); Names of participants or members of the Prospective Tenderer (if this has been agreed); Contact details of the Prospective Tenderer, including the following details: o name of contact person; o telephone and fax numbers; o email address; and o postal and physical addresses. 6. CONFIDENTIALITY UNDERTAKING Each Prospective Tenderer collecting the Tender Documentation shall be deemed to agree that they: 6.1. will cause their members/directors, officers, employees, agents, advisors and representatives to use the Tender Documentation only to evaluate the Project and prepare a Tender and for no other purpose; and 6.2. shall maintain the confidentiality of all information supplied to it in connection with the Project (whether in text, chart, picture, electronic or other form), and agrees to keep its own Tender confidential. 7. TENDER PROCESS AND CHANGES SANRAL reserves the right to (i) change or add to the Tender Documentation at any time; (ii) cancel or suspend the Project; and (iii) cancel or change the Tender process at any stage. As further set out in the Tender Documentation, SANRAL shall not be obliged to accept lowest Tender or any of the Tenders submitted. 8. TENDER ENQUIRIES All enquiries in connection with the Tender Documentation must be made in writing to the persons specified in the Invitation to Tender no later than 13 August 2010. 9. SITE INSPECTION A compulsory Site inspection will be held on 10 and 11 May 2010, the details of which are contained in the Invitation to Tender. 10.
